1. Use of the Website

4. Employment and Deployment Clause

ImpactXTech employs IT professionals who are deployed to work with client organizations. While these professionals are placed at client sites or work remotely under client direction, they remain employees of ImpactXTech. Clients are responsible for managing the day-to-day work of deployed professionals as per the agreed-upon scope, but ImpactXTech maintains oversight on performance standards and compliance.

5. Work Performance Disclaimer

Clients are fully responsible for:

• Assigning, managing, and supervising augmented staff.
• Providing security, compliance, and project oversight.
• Ensuring adherence to company policies.

Service Level Expectations: ImpactXTech ensures that deployed professionals meet agreed-upon qualifications but does not guarantee specific project results, code quality, or system performance. Clients are responsible for defining deliverables and managing the execution of work.

6. Non-Solicitation Clause

Clients agree not to directly hire or engage any IT professional placed by ImpactXTech for a period of 12 months after their engagement ends without written consent from ImpactXTech.

If a client directly hires an IT professional without ImpactXTech’s involvement, the client agrees to pay a placement fee equal to [Insert Fee, e.g., 20% of the contractor's annual salary].

7. Client Responsibilities Clause

• Integrating and onboarding augmented staff.
• Ensuring IT professionals comply with company policies.
• Managing any workplace disputes or performance issues.

8. Limitation of Liability

To the fullest extent permitted by law, ImpactXTech is not liable for:

• Any direct, indirect, incidental, or consequential damages.
• Any business losses, data breaches, or downtime related to our services.

9. Indemnification Clause

Clients agree to indemnify and hold ImpactXTech harmless from any claims, damages, or liabilities arising from the actions, errors, or omissions of deployed professionals while performing work under the client’s direction.

10. Governing Law

These Terms are governed by the laws of the State of Virginia, USA, without regard to conflict of law principles.

11. Dispute Resolution

In case of disputes, both parties agree to resolve matters through mediation before pursuing litigation. Any legal proceedings shall be governed by the laws of the State of Virginia.
